Seminar overview
With local authorities becoming more and more involved with new ways of delivering services and “outsourcing” we will provide a summary the various forms of corporate entity that exist and what they can be used for and the advantages and disadvantages of each and some of the key issues that arise.
The seminar is aimed at those who will be considering whether to trade, outsource services to a mutual, or be involved in running a company e.g. as a nominee director, etc.
Topics to be covered include:

• Structures Generally The types of corporate structures most commonly used by Local Authorities
• Structures for Mutuals Particular issues that arise with mutuals.
• Charities and Social Enterprises The distinctions between each, what they can be used for.
• Constitution including considerations for shareholders agreements Understanding the different roles of the documents that make up the constitution and the shareholders agreement, the importance of shareholders agreement issues it should deal with.
• Council members or council officers as Company Directors Should councillors be company directors, central government guidance and the issues councillors will be faced with.
• Corporate trustees What they are and their duties as trustees

Speaker profiles:
Keith Simkins at Sharpe Pritchard is a partner who has over 20 years’ experience of advising the public sector clients on major commercial transactions and corporate structures including the incorporation of one of the first employee led mutuals in local government which was incorporated under the cabinet office Pathfinder Programme. He frequently lectures on company structures and governance for local authorities.
Peter Collins, Sharpe Pritchard is a senior solicitor at Sharpe Pritchard who advises public, private and third sector clients on corporate and company law matters. He has considerable experience advising clients on company acquisitions and disposals, private equity investments, fundraisings, group reorganisations, board governance matters and shareholder issues. Peter also frequently advises public and private sector clients on company formations and the creation of tailored commercial delivery structures, including joint ventures. Peter works closely with colleagues on PPP/PFI projects and advises regularly on commercial contracts, state aid and public procurement matters.
Matt Waters is a Partner in Bevan Brittan’s Commercial Team. His work often centres around innovative corporate structures used as a means for service redesign. This includes corporate vehicles / structures wholly owned by the public sector, joint ventures between the public and private sector and private sector corporate structures for service delivery. Increasingly, Matt is focusing on the  integration of public services where innovative approaches are required to bring together separate funding and service streams at scale. He has extended experience on spinning out new mutuals / social enterprises from public bodies.
