Course overview

This half day masterclass will provide delegates with the understanding, confidence and materials required to effectively manage and oversee TUPE transactions.

The law governing the transfer of undertakings has significant practical, commercial and financial implications and a strong understanding of this area can give clear strategic and financial advantages.

Delegates attending this event will gain:

• A clear explanation of the law, including changes, and responsibilities for employers
• How to draft contracts to deal with risks and liabilities
• Practical advice on ways in which TUPE can be handled
• Understanding of TUPE in practice through an interactive case study.

Suitable audience:

Local authority legal advisers, HR and procurement officers; any officers involved in TUPE transfers

Overview and topics to be covered include:

• Brief Overview of the key points of TUPE including:
o Who is subject to TUPE?
o Who is “assigned”?
o When might TUPE not apply and the impact of COSOP
o The right to object with associated risks
o What transfers

• Pensions including:
o Changes to dealing with LGPS members in TUPE transfers, including the consultation around Fair Deal
o ‘Hidden’ transfers of pensions rights
• Dismissals
• Post transfer changes
• Collective consultation
• Practical Considerations including:
o data protection issues,
o commercial issues relating to existing and proposed contracts
o indemnities and warranties
o Costs (apportionment of redundancy costs, caps on liability).

Duration: Half a day (3 training hours) including lunch

Presenter profiles:

Philip Woolham is a Senior Associate at Bevan Brittan practicing across all aspects of pension law, public, third and private sectors. He has experience on advising on public sector pension schemes, including the Local Government Pension Scheme, the National Health Service Pension Scheme and the Teachers’ Pension Scheme, and national industry-wide arrangements such as the Social Housing Pension Scheme and the Independent Schools Pension Scheme.

Phil is a member of the Association of Pension Lawyers.

Jaspal Basra is an Associate at Bevan Brittan. He advises upon a full range of non-contentious employment matters, ranging from workforce immigration issues to advice in relation to proposed TUPE transfers and pensions matters. In addition he also advised on contentious employment issues such as defending Tribunal claims including those arising from TUPE transfers and Pension Ombudsman claims.

Jaspal is a member of the Employment Lawyers Association and a member of the Association of Pension Lawyers.
